LEGAL / TERMS
Terms & Conditions
The ground rules for a better working relationship.
Draft for review · Prepared October 18, 2026. These terms require legal review and completion of the operating entity, billing and refund rules, liability provisions, governing law, and contact details before publication.
These draft terms describe the proposed rules for access to Waypoint’s website and sales workspace. A signed order form or separately negotiated agreement may contain additional terms. Any conflict should be resolved using the order of precedence set out in that agreement.
01 Accounts and eligibility
Use the service only if you have legal capacity to enter an agreement and authority to act for any organization you represent. Keep account details accurate, protect sign-in credentials, and promptly report suspected unauthorized access. Your organization’s administrator may manage workspace access.
02 Permitted use
Use Waypoint lawfully and within your subscription limits. Do not attempt unauthorized access, introduce malicious code, interfere with the service, or use customer data for unlawful outreach. You are responsible for obtaining the permissions and consents needed for your contacts, messages, and connected services.
03 Subscriptions and payment
Plan features, fees, billing intervals, and usage limits should be stated in the applicable checkout or order form. Before launch, confirm renewal terms, cancellation timing, taxes, late-payment rules, trial conversion, and any refund rights. Mandatory consumer rights cannot be excluded by these terms.
04 Your content and data
You retain ownership of the records and content you submit. You grant only the permissions needed to host, process, and display that content to provide the service. You are responsible for its accuracy, legality, and the rights needed to upload it. The final agreement should specify export, deletion, and post-termination retention.
05 Intellectual property
Waypoint’s software, branding, and original materials remain the property of their respective owners. Access to the service does not transfer those rights. Any license restrictions must respect applicable law and the terms of third-party software used in the service.
06 Integrations and automation
Third-party integrations may have their own terms and privacy policies. Review permissions before connecting a service. You remain responsible for checking automation rules and outputs before relying on them for business decisions or sending communications to customers.
07 Availability and termination
The service may change or be temporarily unavailable for maintenance or other reasons. Any uptime commitment belongs in a separate service-level agreement. The final terms should define when access may be suspended, notice and cure periods, cancellation procedures, and how customers retrieve their information.
08 Warranties and liability
Before publication, legal counsel should insert appropriate warranties, disclaimers, liability caps, excluded losses, and any indemnity obligations for the service and target markets. Nothing in the final terms should exclude liability or rights that cannot lawfully be limited. No unverified liability cap is established by this draft.
09 Disputes, changes, and contact
Before publication, identify the contracting entity, legal notice address, governing law, and dispute forum. Describe how material changes will be communicated and when they take effect. Any arbitration or class-action waiver requires separate legal review and is not included in this draft.
